1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
2. Eligibility
You must be at least 13 years of age (or the minimum legal age in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
4. User Content
The Service allows users to create, upload, and share content. You retain ownership of the content you submit, but grant Uni-X, Inc. a non-exclusive, worldwide, royalty-free license to host, display, distribute, and modify such content for the purpose of operating the Service.
You are solely responsible for your content and must ensure it does not violate any law or third-party rights.
5. Prohibited Conduct
You agree not to use the Service to:
- upload content that is illegal, harmful, defamatory, or infringes intellectual property rights;
- harass, abuse, or harm other users;
- impersonate any person or misrepresent your affiliation;
- attempt to gain unauthorized access to the Service or its related systems.
6. Participation and Wallet Connection
6.1 Participation Requirements
Registered users may participate in picking memes without connecting a cryptocurrency wallet.
Uploading memes and writing titles require a connected cryptocurrency wallet. Users who have not connected a wallet may browse the Service and cast picks where available, but may not upload memes or submit titles.
6.2 Roles
These Terms use the following terms to describe how value flows through the Service:
- Kick — a timed event during which users may "kick" a meme to take the lead; when the Kick ends, the leading user (the Collector) collects the item and the corresponding payment is made.
- Creator — the user who uploaded a given meme.
- Curator — the user whose title for a given meme is selected through the Kick process when that meme's Kick concludes.
- Collector — the user who wins a Kick and collects the resulting item.
6.3 Connecting and Changing Your Wallet
To connect a wallet, upload memes, write titles, or receive earnings, you must be at least 18 years old or otherwise legally permitted to use these features in your jurisdiction. By using these features, you represent and warrant that you meet these requirements. Users who do not meet these requirements may browse the Service and cast picks where available, but may not connect a wallet, upload memes, write titles, or receive earnings.
A connected cryptocurrency wallet is required to upload memes, write titles, and receive earnings. Please note the following:
- The first time you connect a wallet, that wallet becomes bound to your account.
- Once a wallet is connected, it cannot be disconnected from your account except by deleting your account (see Section 10).
- You may, however, change to a different wallet at any time through your wallet. A newly connected wallet applies to earnings from Kicks whose Settlement occurs after the change.
7. Kicks and Earnings
7.1 Kicks and Transactions
The Service may include Kick or collection features. Any transactions are subject to additional terms presented at the time of the transaction. Uni-X, Inc. is not responsible for disputes between users.
7.2 Distribution of Earnings
When a Collector's payment for an item is confirmed following a Kick (the "Settlement"), the proceeds are distributed among the Creator, the Curator, and the platform. The specific proportions applied to any transaction are disclosed at the time of that transaction.
7.3 Wallet Requirement for Earnings
Because uploading memes and writing titles require a connected wallet, Creators and Curators must have a connected wallet before they can participate in earning activities. Earnings are distributed according to the wallet connected to the eligible user's account at the time of Settlement.
If a user's wallet is unavailable, invalid, restricted, or otherwise unable to receive a distribution at the time of Settlement, Uni-X, Inc. may delay, withhold, or otherwise handle the distribution as reasonably necessary to comply with law, prevent abuse, resolve technical issues, and operate the Service.
8. Intellectual Property
All content and materials provided by Uni-X, Inc. on the Service, including the MemeKick name, logo, and design, are owned by or licensed to Uni-X, Inc. and protected by applicable intellectual property laws.
9. Termination by Uni-X
We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms. Upon termination by Uni-X, your access to the Service will be revoked immediately. Data handling following termination follows the same process described in Section 10 below, except that the 30-day reactivation window may not apply in cases of termination for cause.
10. Account Deletion and Data Retention
10.1 Voluntary Deletion
You may request deletion of your account at any time through the account settings in the Service. Upon submitting a deletion request:
- Your account will be deactivated immediately and you will no longer be able to log in.
- Your profile and content will be hidden from other users.
- Any wallet connected to your account is unlinked as part of account deletion.
- You will have a 30-day grace period during which you may reactivate your account by logging in again. After 30 days, deletion becomes permanent and cannot be undone.
Please note: if you have an active Kick or ongoing transaction at the time of your deletion request, the deletion process may be deferred until that Kick or transaction has concluded.
10.2 What Gets Deleted
After the 30-day grace period expires, we will permanently delete or anonymize your personal information, including your display name, email address, profile image, bio, and authentication tokens.
Memes you uploaded that have received no community activity (no titles submitted by other users) will also be deleted, including associated media files.
10.3 What Is Retained (Anonymized)
Certain content you contributed may remain on the Service in anonymized form — that is, with all information identifying you removed — where it is intertwined with other users' contributions:
- Titles you wrote on other users' memes will be retained and displayed anonymously. Titles become part of the community record of a meme and cannot be removed, regardless of whether they have received picks.
- Memes you uploaded that have received titles from other users will be retained with the uploader information removed and displayed as uploaded by an anonymous user.
- Picks you cast will be retained in anonymized form to preserve the integrity of title rankings and community data.
10.4 Blockchain and On-Chain Data
If you have participated in on-chain transactions through the Service, please be aware that on-chain records (including item registrations, transfers, and Kick settlements) are permanent by the nature of blockchain technology and cannot be deleted or modified by Uni-X, Inc. or any other party. Deleting your account does not remove this on-chain data.
Media files associated with on-chain items held by other users will be retained to preserve the integrity of those records, even after your account is deleted.
10.5 Legal and Operational Retention
Notwithstanding the above, we will retain certain information as required by applicable law or for legitimate operational purposes, including:
- Payment and settlement records, retained for up to 5 years for tax and accounting compliance;
- Records of reports, sanctions, or Terms violations associated with your account, retained to prevent abuse upon re-registration;
- Any information we are required to retain by court order or applicable regulation.
11. Disclaimer
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
12. Limitation of Liability
To the maximum extent permitted by law, Uni-X, Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
13. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance.
